Agreement to Terms

These Terms form an agreement between you and UNIT 365 ("UNIT 365," "we," "us," or "our"). By accessing the website, submitting information, enrolling in marketing, or placing an order, you acknowledge that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the website or place an order.

Additional terms displayed with a promotion, product, payment option, checkout, or third-party service are incorporated when you use that feature. If a product-specific or promotion-specific term conflicts with these Terms, the more specific term controls for that product or promotion to the extent permitted by law.

Eligibility and Information You Provide

You must be at least the age of majority where you live, or use the website with permission and supervision from a parent or legal guardian who agrees to these Terms. You must be authorized to use any payment method and phone number you provide. You are responsible for accurate contact, shipping, billing, payment, and order information and for promptly correcting errors.

Electronic Communications

You consent to receive agreements, disclosures, order confirmations, receipts, notices, and other transaction-related communications electronically. You are responsible for maintaining a working email address and device capable of displaying those records. Marketing messages are governed separately below and may be unsubscribed from without affecting necessary transaction-related communications.

Use of the Website

You may use the website only for lawful personal shopping and brand-related purposes. You may not interfere with security, attempt unauthorized access, probe vulnerabilities without written authorization, scrape or copy the website at scale, abuse forms or APIs, submit false information, misuse promotions, disrupt checkout, introduce malicious code, impersonate another person, violate intellectual-property or privacy rights, or use the website in a way that harms UNIT 365, customers, or service providers.

Products, Colors, Pricing, and Availability

• Product descriptions, photos, prices, colors, sizes, measurements, materials, inventory, and availability may change before an order is accepted.
• We make reasonable efforts to display products accurately, but screens, lighting, photography, image cleanup, styling, garment variation, and manufacturing tolerances may affect perceived colors, texture, scale, placement, and details.
• Size guides and measurements are approximate. Natural and production variation may occur, and fit can differ by body type and styling preference.
• We may correct pricing, product, image, inventory, typographical, or technical errors. If a correction materially affects an accepted order, we will provide any notice, choice, cancellation, or refund required by law.
• Limited drops, restocks, discounts, and promotional items may sell out or be limited by size, color, quantity, region, or time.

Orders and Acceptance

Submitting an order is an offer to purchase and does not guarantee acceptance. An automated acknowledgement confirms receipt, not necessarily acceptance. Orders remain subject to product availability, accurate information, payment authorization, fraud review, shipping restrictions, and acceptance by UNIT 365. We may refuse, cancel, limit, or refund an order for legitimate reasons including suspected fraud, abuse, unauthorized resale activity, payment issues, pricing or inventory errors, address problems, legal restrictions, or violation of these Terms.

If we cancel an order after payment authorization or capture, we will void the authorization or issue a refund to the original payment method as appropriate. Your financial institution may control when a released authorization or refund appears.

Payment and Checkout

Prices are displayed in the currency shown and do not include taxes, shipping, duties, or other charges unless expressly stated. Final charges are presented at checkout. Checkout and payment processing are provided by Shopify and supported payment processors. By placing an order, you authorize the applicable charges and represent that you may lawfully use the selected payment method. We do not intentionally store full payment card numbers on our website.

Shop Pay, Apple Pay, PayPal, Visa, Klarna, and other payment or installment providers may apply their own eligibility decisions, fees, installment schedules, privacy notices, dispute processes, and terms. UNIT 365 does not control a provider's credit decision or financing agreement.

Shipping, Delivery, and Risk of Loss

Unless a product or checkout states otherwise, in-stock orders are typically prepared and handed to the carrier within 2 to 7 business days. Most U.S. orders then arrive within 2 to 7 business days after dispatch. Processing and carrier transit times are separate estimates, not guaranteed delivery dates. Weekends, holidays, launches, carrier delays, address issues, weather, customs, and fulfillment volume may affect timing.

We will make shipment representations only when we have a reasonable basis. If we cannot ship within the promised time, or within the period required by law when no time is promised, we will provide any delay notice, cancellation choice, and refund required by applicable law. Risk of loss and title transfer as provided by applicable law. You are responsible for providing a complete deliverable address and monitoring tracking. Contact us promptly about a missing, damaged, or incorrectly delivered package so we can review available carrier and order remedies.

Returns, Exchanges, and Final Sale

Eligible returns must be requested within 14 calendar days after delivery. Eligible size exchanges must be requested within 30 calendar days after delivery. Unless applicable law requires otherwise, items must be unworn, unused, unwashed, unaltered, undamaged, free of odors or marks, and returned with original tags and packaging. Proof of purchase and prior return authorization may be required.

Free size exchanges are subject to eligibility and replacement inventory. If the requested size is unavailable, we may offer another available remedy. Items clearly marked "Final Sale" before purchase, gift cards, and items that fail the condition requirements may be ineligible where permitted by law. Original shipping charges are nonrefundable unless the return results from our error or applicable law requires otherwise. Nothing in this section limits non-waivable rights relating to defective, misdescribed, or incorrectly supplied goods.

Discounts, Codes, and Promotions

Discounts and promotional offers may be limited by time, product, customer, first purchase, order value, quantity, geography, or other disclosed conditions. Unless expressly stated, offers cannot be combined, have no cash value, and do not apply retroactively. We may reject or cancel use resulting from fraud, automation, duplication, technical error, or activity inconsistent with the offer, subject to applicable law.

The current email signup offer provides 10% off the first qualifying order after a customer voluntarily provides an email address and opts into marketing. SMS enrollment is optional and separate. The offer is also governed by the Notice of Financial Incentive and any limitations displayed at signup or checkout.

Email Marketing

If you affirmatively subscribe to marketing email, you agree to receive promotional emails, launch updates, discount codes, product announcements, restock alerts, browse reminders, cart reminders, checkout reminders, post-purchase marketing, and related communications from UNIT 365. You may unsubscribe through the link in any marketing email. We will honor opt-out requests as required by law. We may continue sending non-marketing messages relating to an order, support request, security matter, or other transaction.

SMS Marketing Terms

By separately checking the SMS consent box and submitting your phone number, you expressly agree to receive recurring automated promotional SMS or MMS messages from UNIT 365 at that number. Messages may include product launches, offers, discount codes, restock alerts, browse reminders, cart reminders, checkout reminders, and post-purchase marketing. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply.

Reply STOP, QUIT, END, CANCEL, or UNSUBSCRIBE to revoke consent where supported. A final confirmation message may be sent. Reply HELP for help or email unit365studio@gmail.com. We will honor any other reasonable revocation request as required by law. Carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed. You represent that you are the account holder or authorized user of the number. If your number changes or is reassigned, you must opt out or notify us before relinquishing it.

Cart-abandonment SMS messages are sent only to subscribers whose consent covers cart reminders. We use cookies and related commerce data to identify an abandoned cart. Our Privacy Policy explains SMS data use and sharing. We may change or terminate the messaging program, sending number, or short code, subject to notice required by law.

Abandoned Cart, Checkout, and Browse Messages

We may use Klaviyo, Shopify, cookies, pixels, and related technologies to associate products you viewed, added to cart, or began checkout with a marketing profile and send reminders when permitted. Email enrollment does not by itself authorize SMS. SMS reminders require the separate SMS consent described above. You may opt out at any time.

Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information, including Shopify checkout, Klaviyo email/SMS marketing, Meta Pixel and Conversions API with Maximum data sharing, cookies, AI-assisted tools, and privacy choices.

Intellectual Property

All content on this website, including UNIT 365 names, logos, marks, product designs, product photos, graphics, layout, text, videos, code, and brand elements, is owned by UNIT 365, licensed to us, or used with permission and is protected by applicable intellectual-property laws. No license is granted except the limited, revocable right to use the website for personal shopping. You may not copy, reproduce, distribute, modify, sell, scrape, mirror, train a model on, or commercially reuse website content or brand assets without written permission.

User Submissions and Reviews

If you voluntarily send feedback, photos, reviews, tags, social posts, or other content for publication or tag UNIT 365 in content, you represent that you have the right to share it and that it is truthful and does not violate another person's rights. You grant UNIT 365 a nonexclusive, worldwide, royalty-free license to reproduce, format, display, repost, and distribute that content for our website, social media, advertising, customer service, and brand marketing, subject to applicable law. This license does not transfer ownership. Contact us if you want us to stop future use, although removal may not affect materials already lawfully produced or distributed.

Reviews, Testimonials, and Community Content

Reviews and community content reflect the individual author's experience and do not guarantee that every customer will have the same experience. We do not permit fake reviews or require a customer to surrender the right to give an honest review. If a reviewer, creator, employee, friend, or other person has a material connection to UNIT 365, that connection must be clearly disclosed as required by law.

AI-Assisted Content and Tools

UNIT 365 may use AI-assisted or automated tools for limited functions such as drafting or editing text, image cleanup, product presentation, customer-service assistance, analytics, spam detection, fraud prevention, and technical operations. Product specifications, price, availability, size information, and checkout terms displayed for the applicable item and order control over generalized or AI-assisted content. AI-assisted images or edits are illustrative and do not override written product details. Contact us if you need confirmation before purchasing.

Third-Party Services and Links

The website includes links to or integrations with services such as Shopify, payment and installment providers, shipping carriers, Klaviyo, Meta, Instagram, Vercel, Resend, and other technology providers. Third parties may apply their own terms and privacy notices. To the fullest extent permitted by law, we are not responsible for independent third-party websites, services, content, policies, outages, eligibility decisions, or conduct.

Security and Prohibited Activity

We may use technical safeguards, rate limits, spam filters, fraud tools, and security monitoring to protect the website. You may not bypass security controls, test vulnerabilities without permission, submit malicious code, automate abusive traffic, interfere with checkout, misuse APIs, or attempt to access information not intended for you.

Disclaimer of Warranties

To the fullest extent permitted by law, the website and digital content are provided "as is" and "as available." We do not guarantee that the website will be uninterrupted, error-free, continuously secure, current, or free from harmful components. Products remain subject to any express written warranty and non-waivable consumer rights that apply to the sale.

Limitation of Liability

To the fullest extent permitted by law, UNIT 365 and its owners, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from use of the website, delivery delays, third-party services, marketing communications, or reliance on generalized website content. To the fullest extent a monetary cap is permitted, our aggregate liability for a claim relating to a specific purchase will not exceed the amount paid to UNIT 365 for that purchase.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, personal injury caused by negligence, defective products where liability cannot be excluded, or any warranty, refund, consumer-protection, or other right that applicable law does not permit us to waive or limit. Some jurisdictions do not allow certain exclusions, so some provisions may not apply to you.

Indemnification

To the extent permitted by law, you agree to indemnify UNIT 365 against third-party claims, damages, and reasonable costs resulting from your intentional misuse of the website, fraud, unlawful conduct, unauthorized payment use, infringement of another person's rights, or material violation of these Terms. This provision does not require a consumer to indemnify us for our own unlawful conduct or negligence.

Force Majeure

We are not responsible for delays or failures caused by events outside our reasonable control, including carrier delays, supply issues, labor disruptions, severe weather, natural disasters, power or internet outages, platform outages, payment processor issues, cyber incidents, war, governmental action, or emergencies.

Governing Law

Except where the mandatory law of your residence provides otherwise, these Terms are governed by applicable United States federal law and the law of the U.S. state in which UNIT 365 maintains its principal place of business, without regard to conflict-of-law rules. Any proceeding must be brought in a court with lawful jurisdiction and proper venue. Nothing in these Terms deprives a consumer of non-waivable rights or a legally required forum.

Suspension and Termination

We may suspend or terminate access to the website or refuse future orders when reasonably necessary to address fraud, abuse, security threats, unlawful conduct, or material violations of these Terms. Provisions that by their nature should survive termination, including ownership, payment obligations, disclaimers, liability limits, and dispute provisions, will survive.

Severability

If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect to the fullest extent permitted by law.

Waiver, Assignment, and Entire Agreement

A failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, financing, reorganization, or sale of the business or its assets. These Terms, the Privacy Policy, and any product-, checkout-, or promotion-specific terms form the entire agreement concerning the website and applicable purchase and replace prior discussions on the same subject.

Changes to These Terms

We may update these Terms to reflect operational, legal, or service changes. The "Last updated" date identifies the current version. Updated Terms apply when posted unless a later date is stated. Material changes will not retroactively alter an accepted order unless required by law or agreed by you.
